End-User License Agreement

STAAK Automation System

1. Acceptance

By accessing or using the STAAK Automation System(the “Application”), you agree to the terms of this End-User License Agreement (“Agreement”). If you do not agree, do not use the Application.

2. License Grant

STAAK grants authorized users a limited, non-exclusive, non-transferable licence to access and use the Application for its intended purpose: internal processing of supplier invoices, client remittances, invoice generation, and contractor payment entries connected to QuickBooks Online, Airwallex, Wrike, and Microsoft 365.

This licence does not extend to any party outside STAAK’s authorized personnel and integration partners.

3. Permitted Use

The Application may be used only to:

  • Process and classify business documents connected to STAAK’s accounting operations
  • Read and write records in the connected third-party platforms listed above
  • Generate logs and summaries of automated activity

4. Restrictions

Users may not:

  • Reverse-engineer, decompile, or modify the Application
  • Use the Application to process data unrelated to STAAK’s business operations
  • Circumvent operator review steps, including the manual approval required before any contractor payment is initiated in Airwallex
  • Share access credentials with unauthorized parties

5. Ownership

The Application, including its underlying code and configuration, is the property of STAAK. This Agreement grants a licence to use the Application; it does not transfer ownership.

6. Third-Party Services

The Application connects to QuickBooks Online, Airwallex, Wrike, Microsoft 365, and the Anthropic Claude API. Use of the Application is also subject to the terms of service of each connected platform. STAAK is not responsible for the availability or performance of these third-party services.

7. No Automatic Payments

The Application does not execute financial payments automatically. All contractor payment entries created by the Application remain in a pending state and require manual review and approval by an authorized operator before funds move.

8. Disclaimer of Warranties

The Application is provided “as is.” STAAK makes no warranty that the Application will be error-free or uninterrupted. Classification results produced by the Application are subject to review; flagged items require manual confirmation before action is taken.

9. Limitation of Liability

To the extent permitted by law, STAAK is not liable for indirect, incidental, or consequential damages arising from use of the Application. This limitation does not apply to damages arising from gross negligence or wilful misconduct.

10. Termination

STAAK may suspend or terminate access to the Application at any time, including for a breach of this Agreement.

11. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
